About this role…
Reporting to the Head of Governance, the focus of this role will be ensuring compliance with all regulatory and statutory requirements as well as acting as the Company Secretary for their various Asset boards. This role offers a lot of autonomy working alongside Board Members and Executives across the business.  This role is supported by another Company Secretary and a well established Governance team.

With an in-depth knowledge of the Corporations Act and Corporate Governance principles some of your responsibilities will entail:

  • Supporting the Board in meeting their governance and compliance obligations;
  • Advise the Board as required on good practice in corporate governance;
  • Ensuring overseas regulatory requirements are met;
  • Attending to the lodgment of all requisite ASIC documents and other reporting obligations including AFSL compliance/variations and changes to responsible managers;
  • Policy review and drafting as required;
  • Managing reporting portals such as ASIC, ABR and CAS;
  • Administering the Constitution and other governing documents;
  • Assisting with trustee services for co-investment trusts;  
  • Incorporation of new companies;
  • Monitoring any regulatory or statutory changes
  • Managing Board & Committee processes such as co-ordinating the annual diary of meetings, liaison with Board Members, preparing meeting agendas, minutes, distributing board papers, drafting or amending governance documents.
  • Drafting submissions for Board Papers
  • Provide Company Secretarial services to all asset companies owned by Foresight Australia. These services are also shared with another Company Secretary.
  • Interacting with our UK Group Head Office on governance and compliance issues

About you…
Formal qualifications required

  • Relevant tertiary degree
  • Member of the AICD (Australian Institute of Company Directors)

Essential experience and behaviours required

  • 5 years + Company Secretarial/General Counsel experience in a complex group, managing secretarial responsibilities, corporate governance and compliance;
  • An in-depth knowledge of the Corporations Act and Corporate Governance Principles
  • Experience with unlisted entities, trusts and ASFL requirements;
  • Ability to discuss/review key risks with Executives;
  • Excellent negotiation/influencing/drafting skills with ability to effectively manage competing priorities;
  • Highly developed, effective communication skills -both written & oral;
  • Exceptional attention to detail ;
  • An approachable manner, with a pro-active ‘hands on’ approach in order to assist others in a team environment and;
  • Ability to balance commercial business requirements with internal control and regulatory demands.

Location…
Other members of the Governance team include the Head of Governance, Head of Risk & Compliance and the Legal Counsel, all of whom are in Melbourne. Melbourne applicants are therefore strongly encouraged to apply however this role could be based in Sydney if need be. Hybrid working arrangements are currently 3 days in the office per week.
